Apple Director Won't Seek Re-Election

J.Crew CEO Millard “Mickey” Drexler, 70, who has served on the Board since 1999, notified the Board of his intention to retire at the end of his current term. His role will end in March; no one has been named to fill the vacancy. In addition to his position on Apple’s board, Drexler has been the CEO of J.Crew since 2003. Prior to that, he was the CEO of Gap.

Oracle Adds Former Defense Secretary as Director

Oracle elected the Honorable Leon Panetta, 76, former U.S. Secretary of Defense and former Director of the Central Intelligence Agency, to the company's Board. Secretary Panetta served in the Obama Administration as U.S. Secretary of Defense from 2011 to 2013 and as Director of the Central Intelligence Agency from 2009 to 2011. Previously, he was White House Chief of Staff and Director of the Office of Management and Budget under President Bill Clinton, and member of the U.S. House of Representatives representing California's 16th district.

eBay’s New Directors Add Investor, Financial and Media Perspective

eBay appointed Perry Traquina, 79, Frank Yeary, 44, Jonathan Christodoro, 38, and Bonnie Hammer, 64, to its board of directors. Traquina brings a valuable market-oriented investor perspective to eBay’s board, having served as CEO and Chairman of Wellington Management, one of the world’s largest investment management companies, retiring in 2014. He held a series of positions of increasing responsibility, including Assistant VP, Director of Global Research, Partner and President. From 2004-2014, he served as Chairman, CEO and Managing Partner.

Yeary brings extensive experience in corporate governance and M&A strategy. In 2012, he co-founded CamberView Partners, a financial advisory firm, where he is Executive Chairman. He has served as Global Head of M&A for Citigroup Global Markets and Chairman of Salomon Smith Barney’s Global Technology, Media and Telecommunications (TMT) Investment Banking Group. Yeary also serves on Intel’s board. He is Co-founder and former Chairman of Level Money and was Vice Chancellor of the University of California, Berkeley.

The company also announced that it has entered into a standstill agreement with investor Carl Icahn. In addition to certain corporate governance provisions to be adopted by PayPal as an independent company at the time of its spin-off from eBay, the agreement appoints Icahn Capital executive Jonathan Christodoro to eBay’s current board. The agreement with Icahn allows him to determine which board Christodoro will serve on at the time of separation. Christodoro has been MD of Icahn Capital since 2012. He served in various investment and research roles at P2 Capital Partners, Prentice Capital Management and S.A.C Capital Advisors. He began his career as an investment banking analyst at Morgan Stanley. He served in the United States Marine Corps.

Bonnie Hammer, chairman of NBCUniversal Cable Entertainment, brings in a background in consumer and social-media content to the eBay board. Hammer becomes the second woman on the board. She’s joining ahead of the planned spinoff of the company’s PayPal payments unit this year, and decisions about which directors will be placed on which boards after the split will be determined later. Hammer joined USA Network as a Universal Television programming executive in 1989 and has held several top positions at the company, including president of USA Network and Syfy channels. Before that, she developed and produced programs at several other cable and local TV channels.

EMC to Add Two Directors in Temporary Truce with Elliott Management

EMC has reached a truce with a prominent activist hedge fund, by agreeing to add two directors José E. Almeida, 52, and Donald J. Carty, 68, to its board. The standstill agreement with Elliott Management will last until September 2015. EMC and Elliott collaborated on the search.

Almeida has served as Chairman of Covidien plc since 2012 and as President, CEO and a Director since July 2011. He currently serves on the Board of State Street Corporation.

Carty served as Chairman and CEO of AMR Corporation from 1998 to 2003. He currently serves as Chairman of Virgin America Airlines, and is a director of Canadian National Railway Company and Talisman Energy.

Former World Bank and IMF Consultant Retires as Infosys’ Director

Dr. Omkar Goswami retired from the Infosys Board in accordance with the retirement policy of the company. He joined the Infosys Board in November 2000.  Dr. Goswami is the Founder and Chairman of Corporate & Economic Research Group (CERG) Advisory Private Limited. He has also been a consultant to the World Bank, the International Monetary Fund, the Asian Development Bank and the Organization for Economic Co-operation Development. A professional economist, Dr. Goswami taught and researched economics for 18 years at various universities in India and abroad. In March 1997, Dr. Goswami became the editor of Business India.

Analog Devices Appoints Covidien’s Chair/CEO as Newest Board Member

Analog Devices elected José (Joe) Almeida, 52, as a Director of the Company. Almeida is currently Chairman of the Board, President and CEO of Covidien. Before assuming his current position, he served as the President of Covidien's Medical Devices business segment and also as President of Covidien’s International business. Prior to Covidien, he held leadership positions at Greatbatch, American Home Products’ Acufex Microsurgical division, and Johnson & Johnson’s Professional Products division. He currently serves on the Board of State Street Corporation and EMC.

E*TRADE Appoints Board Member with Investment Banking Experience

E*TRADE Financial appointed James P. Healy to the Company's Board. Healy had a 25-year career in the Investment Banking arm of the Credit Suisse Group, where he served as Global Head of the Fixed Income Division. He is currently the CEO of Capra Ibex Advisors, a registered Investment Advisor he founded. Prior to Credit Suisse, Healy was as an economist at the IMF, served as a consultant to the Organization for Economic Cooperation and Development, and a visiting scholar at the Board of Governors of the Federal Reserve.

Teradata Adds Cigna’s CMO and Blackbaud’s CEO to Board

Teradata elected Lisa R. Bacus, 49, and Michael P. Gianoni, 53, to its Board of Directors. Bacus is EVP and Global CMO at Cigna. Bacus joined the company in 2013. Before that, she served as EVP and Chief Marketer at American Family, and served in many key roles at Ford, including Director of Global Marketing Strategy, Director of Global Market Research, Head of Marketing for Ford in Mexico, and Brand Manager and Regional Sales Manager for Lincoln.

Michael P. Gianoni is President and CEO of Blackbaud since 2013. Prior to that, he served as EVP and group president, Financial Institutions Group, and president of the Investment Services division at Fiserv. Gianoni joined Fiserv as part of its acquisition of CheckFree, where he served as EVP and general manager of CheckFree Investment Services. He spent 11 years at DST Systems and worked at Applications Systems Group, Sequent Computer Systems, Wang Laboratories, U.S. Design Corporation and Canberra Industries.

Science Applications Int'l Adds Fannie Mae CEO as Director

Scientific, engineering, and technology applications company SAIC announced that Timothy J. Mayopoulos has been appointed as a board member. Mayopoulos is the president and CEO of Fannie Mae, and a member of its board. He joined Fannie Mae in April 2009 as EVP, general counsel, and corporate secretary, and in 2010 he was appointed chief administrative officer before becoming president and CEO in June 2012. Prior to joining Fannie Mae, Mayopoulos held senior leadership positions at several financial institutions, including BofA, Credit Suisse First Boston, and Deutsche Bank.

Convergys Appoints Retired Finance Exec as Director

Convergys appointed Cheryl K. Beebe, 59, as a director. Beebe is retired EVP and CFO of Ingredion Incorporated, a leading global provider of ingredient solutions to diversified industries. She served in this role from 2010 to 2014. Beebe currently serves on the Board of Directors of Packaging Corporation of America, a box manufacturer for conventional shipping containers, custom-printed corrugated boxes, custom packaging, and retail displays.

Ellie Mae Appoints COO as CEO; Co-Founder and former CEO Stays as Exec Chair

Ellie Mae, innovative on-demand software solutions provider for the residential mortgage industry, has appointed Jonathan Corr, 47, as CEO and a member of the Board. Corr, a 12-year veteran of Ellie Mae, currently serves as president and COO of the company. Corr joined Ellie Mae in 2002. He was named COO in 2011 and president in 2013. Earlier, he led the company’s product management efforts and was chief strategy officer.

Sigmund Anderman, 72, will transition from CEO of the Company to Executive Chairman. He is one of co-founders, has served as CEO and as a member of the Board since the inception of the Company in August 1997. Anderman co-founded American Home Shield Corporation, a home warranty company; founded CompuFund, a computerized mortgage banking company; and founded Inspectech Corporation, a computerized home inspection company.

Customer Engagement Software Company eGain Adds Former Avaya Exec as Director

Brett Shockley, 53, has joined its board of eGain. Shockley is a serial entrepreneur and senior business executive, known for growing startups and driving transformational change in established businesses. Shockley most recently served as SVP and CTO at Avaya. Prior to Avaya, he founded Spanlink Communications and Calabrio, both innovative providers of contact center technology and services. He has also served as VP and GM of the Customer Contact Business unit at Cisco Systems.

Brett Shockley, 53, has joined its board of eGain. Shockley is a serial entrepreneur and senior business executive, known for growing startups and driving transformational change in established businesses. Shockley most recently served as SVP and Chief Technology Officer at Avaya. Prior to Avaya, he founded Spanlink Communications and Calabrio, both innovative providers of contact center technology and services. He has also served as VP and GM of the Customer Contact Business unit at Cisco Systems.

Dora Vell
